If so, this is a unique opportunity for you to play a key role as a trusted advisor in Ambu, supporting the company’s day-to-day business in finding solutions which balance legal and commercial interests. We are looking for a highly qualified Corporate Legal Counsel to support our business globally, mainly within questions related to corporate matters, international contracts, and commercial legal issues. You will report to the Vice President, General Counsel and work from Ambu’s headquarter in Ballerup. You will become part of a legal team consisting of dedicated and skilled colleagues where a high level of competence, humor and execution is part of everyday life.

Legal assistance across the business

As part of the legal team, you will provide legal assistance to various functions across the business. Your main responsibilities as Corporate Legal Counsel will be to:

  • Provide legal advice related to corporate and company law matters, such as corporate structures and documentation globally, employee incentive programs, the annual report, corporate governance reporting.
  • Ensure compliance with stock exchange regulations, including evaluation and documentation of insider information, company announcements, ESG matters, insider lists, development and training of relevant stakeholders.
  • Assist with planning and execution of the annual general meeting.
  • Develop and maintain contract templates and legal guidelines in collaboration with relevant stakeholders from the business.
  • Draft, review and negotiate contracts, e.g. non-disclosure agreements, letters of intent, loan and other financing agreements, consulting agreements, tender contracts, distribution agreements.
  • Provide support to projects and initiatives.
  • Provide ad-hoc advice on various legal matters.

 

Solution-oriented candidate with a pragmatic approach

Skills and experiences can be earned in many ways, and we understand that the best fit for the role cannot be prescribed on paper. You are however likely to succeed in this position if you have:

  • A master's degree in law.
  • 2+ years of experience with legal counselling either from a law firm or as in-house legal counsel.
  • Solid experience in stock exchange regulations and company law.
  • Experience in reviewing and preparing agreements and in negotiating independently.
  • Thrive on handling a wide range of tasks and you manage to consistently deliver professional and constructive solutions.
  • Excellent analytical skills, and you know how to prioritize and meet deadlines.
  • Great communication skills and fluency in English and Danish, both orally and in writing.
  • A methodical and thorough approach with the ability to work effectively without losing sight of details and quality.
  • Ability to handle complex business structures and advanced legal issues in a pragmatic, solution-oriented manner.

 

It is key that you by nature are committed, proactive and that you are able to identify and explore opportunities. You have high integrity and strong interpersonal skills. You can interact with and influence stakeholders at all levels of the organization. In addition, you have business acumen, the ability to work independently and manage multiple projects simultaneously. Experience from the medical device industry is an advantage but not a requirement.
